Terms of Service

1. Agreement to Terms

By accessing nexforgeai.com or engaging NexForge AI for consulting and implementation services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Site or services.

2. Services Description

NexForge AI provides AI consulting, strategy, implementation, and ongoing optimization services for small and medium-sized businesses. Our services include but are not limited to:

• AI strategy and assessment
• Customer communication automation
• Workflow automation
• Content and marketing automation
• Custom AI solution development
• Ongoing support and optimization

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement agreed upon by both parties.

3. Payment Terms

Unless otherwise specified in a written agreement:

• Monthly retainer fees are due on the first business day of each month
• Project fees are invoiced per milestones defined in the SOW
• Invoices are due within 14 days of receipt
• Late payments are subject to a 1.5% monthly interest charge
• All fees are in USD unless otherwise agreed

Third-party software subscriptions required for your implementation (if any) are your responsibility unless explicitly included in your agreement. We will disclose all expected third-party costs before beginning work.

4. Intellectual Property

Your Data

You retain full ownership of your business data, content, and any pre-existing intellectual property you provide to us for use in your project.

Deliverables

Upon full payment, you own the custom deliverables we build specifically for your engagement (workflows, configurations, custom models, and documentation).

Our Tools and Methods

We retain ownership of our proprietary methodologies, frameworks, templates, and tools that we use to deliver services. We grant you a non-exclusive license to use any such elements incorporated into your deliverables.

5. Confidentiality

Both parties agree to keep confidential any non-public business information disclosed during the engagement. This obligation continues for 2 years after the end of the engagement. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

6. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

THE SITE AND ANY INFORMATION PROVIDED ON IT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE SPECIFIC BUSINESS OUTCOMES FROM THE USE OF OUR SERVICES. AI SYSTEMS ARE SUBJECT TO LIMITATIONS AND MAY PRODUCE UNEXPECTED RESULTS; YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING ALL AI-GENERATED OUTPUTS BEFORE ACTING ON THEM.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXFORGE AI'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Termination

Either party may terminate an ongoing services agreement with 30 days written notice. You are responsible for fees incurred up to the termination date. We reserve the right to terminate immediately for non-payment or material breach of these Terms.

9. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association.

10. Changes to Terms

We may update these Terms of Service. We will notify active clients of material changes with at least 30 days notice. Continued use of our services after changes take effect constitutes acceptance of the revised terms.
